In this program, a panel of experienced U.S. and Canadian practitioners and judges will explain the structure and use of “reverse vesting” transactions to realize enterprise value in Canadian and cross border (Canada/U.S.) restructurings, explore the legal framework for court approval of such transactions on both sides of the border, and delve into the issues at play when a U.S. bankruptcy court is called upon to give effect in the U.S. to a Canadian reverse vesting order.

Bios:

David Fournier is a partner in the Wilmington, Delaware office of Troutman Pepper Locke LLP. David has over 35 years of experience representing various interests in complex bankruptcy and restructuring matters in the District of Delaware and other jurisdictions. His clients include corporate debtors, secured and unsecured creditors, official creditors’ committees and foreign representatives, among others. He also has extensive experience as a mediator in bankruptcy litigation. David is active in several professional organizations, including the Business Law Section of the American Bar Association and INSOL International, and currently serves in various leadership roles on the ABA BLS Business Bankruptcy Committee, and on the Group of Thirty-Six Committee of INSOL International. David has been recognized as one of the leading bankruptcy practitioners in Delaware in Chambers USA America’s Leading Lawyers for Business, among other publications.

Sandra is a partner in the Montréal Office of Osler, Hoskin & Harcourt LLP, where she served as Managing Partner of that office from 2017 to June 2025. Sandra has over 35 years of experience in the insolvency and restructuring practice. Recognized as a leader in Québec and nationally, she has an expertise in cross border and international matters, acting for a number of major private and public corporations operating in a variety of areas.
Sandra is lauded for her creative and practical approach to problem-solving and finding solutions to complex business and legal problems. Sandra is a Past President of the Board of the Turnaround Management Association – Montréal Chapter, and is a member of the board of directors of the Insolvency Institute of Canada and the Montréal Metropolitan Chamber of Commerce, in addition to being deeply engaged in her community.

The Honourable Jane Dietrich is a judge of the Ontario Superior Court of Justice in Toronto. She was appointed to that court in 2024. Justice Dietrich received her law degree from the University of Toronto in 2003 after obtaining her Bachelor of Science, Kinesiology degree from the University of Waterloo in 1998. She was called to the Ontario Bar in 2004.
Justice Dietrich began her legal career and became a partner with Fraser Milner Casgrain LLP in Toronto. For the 10 years preceding her tenure on the bench, Justice Dietrich was a partner with Cassels Brock & Blackwell LLP in Toronto with a practice focused on insolvency, restructuring and related commercial litigation.
Justice Dietrich became a fellow of INSOL International in 2010 and has formerly sat on the board of that organization. She was a member of the Insolvency Institute of Canada and the International Insolvency Institute. She has been a regular contributor to continuing professional development programs and was formerly an adjunct professor at the University of Toronto Law School, where she taught Bankruptcy Law. She has been repeatedly recognized by Chambers, Benchmark Litigation, Best Lawyers in Canada, Lexpert, IFLR1000 among others.

Laurie Selber Silverstein was sworn in as a bankruptcy judge for the District of Delaware on January 7, 2015, and she is one of eight judges serving on the court. Judge Silverstein maintains a docket of corporate chapter 11 cases as well as one-half of the consumer chapter 7 docket. She received her law degree, with honors, in 1985 from The National Law Center of The George Washington University, and her Bachelor of Science, cum laude, in 1982 from the University of Delaware. Judge Silverstein is a member of the Committee on the Budget of the Judicial Conference of the United States. She is also a Fellow of the American College of Bankruptcy, a member of the American Bar Foundation, and is on the Executive Committee of the Delaware Bankruptcy American Inn of Court.

Francisco Vazquez is a senior counsel in Norton Rose Fulbright’s New York office and a member of the firm’s bankruptcy and financial restructuring practice. Frank’s practice focuses on representing foreign representatives and other parties in cross-border insolvency proceedings. He has also represented debtors in pre-packaged and conventional Chapter 11 cases, advised borrowers and lenders in out-of-court restructurings, as well as advised creditors’ committees, secured and unsecured lenders and examiners in Chapter 11 cases.
Frank has written on bankruptcy and cross-border issues in various publications, including The American Bankruptcy Institute Journal, Norton’s Annual Survey of Bankruptcy Law, and INSOL International. He is an INSOL Fellow and a member of the International Insolvency Institute. Frank received his J.D. from St. John’s University School of Law, where he was the managing editor of the ABI Law Review. He is a member of the American Bankruptcy Institute and the Advisory Board of the ABI Law Review. He is currently an adjunct professor at St. John’s University School of Law.
Previously, he served as the law clerk to the Honorable Manuel D. Leal, Chief United States Bankruptcy Judge for the Southern District of Texas (1995-1997) and the Honorable R. Clifford Fulford, United States Bankruptcy Judge for the Northern District of Alabama (1994-1995).
